File between January 1 and May 1 for $138.75. File after May 1 and it jumps to $538.75. Miss September and Florida dissolves the LLC.
How to file
Go to sunbiz.org → Manage/Change Existing Business → File Annual Report. You'll need your document number.
Reinstatement
Dissolved LLC? You can reinstate but you owe every missed year plus penalties. I've reinstated 40+ North Miami LLCs — usually $600–$1,200 all-in.
Set autopilot reminders
Add May 1 to your phone calendar, or hire a registered agent that files for you. Small cost, massive protection.
What happens after dissolution
You lose the LLC name, the liability shield vanishes, contracts signed under the dissolved entity become personal. Not worth the risk.
