Opening a Corporation in North Miami as a Non-US Resident

Yes, you can own 100% of a US LLC or C-Corp

Florida imposes no residency, citizenship, or SSN requirement to be an owner or officer.

Choose LLC or C-Corp carefully

Non-residents can't own S-Corps. Most immigrant entrepreneurs pick a single-member LLC (pass-through, simple) OR C-Corp if raising VC or issuing stock.

EIN without SSN

File Form SS-4 by fax to the IRS with 'Foreign' in the SSN field. Takes 4–6 weeks — I file these weekly for North Miami clients.

US bank account without traveling

Options are limited but growing: Mercury, Relay, and Wise Business accept foreign owners with proper LLC documentation.

Tax filings

Non-resident-owned single-member LLC files Form 5472 + pro-forma 1120 every year. Miss it: $25,000 penalty. This is the single biggest compliance trap.
