How to Start an LLC in North Miami (Florida) — 2026 Step-by-Step

Florida is one of the friendliest states in the country to start an LLC — no state income tax, low fees, fast filing. Here's exactly how to do it right.

Step 1: Pick a unique name

Search Sunbiz.org to confirm the name isn't taken. Must end with 'LLC' or 'Limited Liability Company.'

Step 2: File Articles of Organization

Filed with Florida Division of Corporations. Filing fee: $125. Processing: 3–7 business days online.

Step 3: Get your EIN

Free from IRS.gov — same day for US residents. Non-residents can still obtain one via Form SS-4 (I file these regularly for North Miami clients).

Step 4: Operating Agreement

Not required by Florida but essential. Banks will ask, and it protects your liability shield if you're ever sued.

Step 5: Business bank account

Local options: City National Bank of Florida, BankUnited, Chase Business. Never mix personal and business funds — that's how the liability shield collapses.

Step 6: Annual report

Florida LLCs must file an annual report by May 1 every year. Fee: $138.75. Miss it and Florida administratively dissolves your LLC.
